Terms for Inferock.

OpiusAI ("Inferock", "we", "us") provides hosted LLM inference, routing, measurement, per-call receipts, and accountability software. These terms keep the service promise tied to evidence and the applicable order form.

These terms govern access to the Inferock website and hosted service unless a signed agreement or order form says otherwise. These terms are under periodic legal review.

If these terms conflict with an order form, data processing addendum, or negotiated agreement signed by OpiusAI, the signed document controls for that customer and scope.

Acceptance

Acceptance language.

By accessing the site, creating an account, using hosted Inferock, clicking to accept, or signing an order form that references these terms, you agree to these terms. If you use Inferock for an organization, you represent that you can bind that organization.

Account authority

Customer administrators are responsible for invited users, account configuration, provider choices, provider keys, order-form compliance, and all activity under their tenant except to the extent caused by OpiusAI's breach of these terms.

Bring Your Own Keys

Customer provider account and provider bill

BYOK is the mode where the customer keeps its own provider accounts, provider terms, and provider bill. The customer authorizes Inferock to store the customer provider key in the hosted key vault, use it to route selected calls, and create usage, receipt, billing-integrity, and failure evidence for the customer's review.

BYOK is visibility and accountability reporting on the customer's provider-bill context. It does not include OpiusAI service credits unless a separate written agreement says so.

Managed

Gated upsell with bounded service credits

Managed is available only if separately approved or ordered. In Managed, OpiusAI may operate the provider relationship as part of the service, and eligible objective failures may receive bounded service credits under the applicable order form or plan.

Managed credits are capped service credits. They are not insurance, a cash reimbursement promise, an uncapped balance-sheet obligation, or a guarantee that every model-quality issue is recoverable.

The local inferock-bench package is a separate local diagnostic tool. It keeps provider keys, local event logs, and receipts on the user's machine unless the user shares them. The open-source artifacts referenced by Inferock are governed by their own licenses.

Fees and billing

All fees, billing cycles, prepaid mechanics, usage metrics, service-credit caps, taxes, and payment terms are as set out in the applicable order form or plan. This page does not hardcode percentages or prices.

BYOK platform fee

BYOK fees are charged for access to the hosted platform, routing, measurement, reports, and related support according to the applicable order form or plan. Customers remain responsible for their direct provider bills.

Managed prepaid mechanics

Managed fees, prepayment, usage deduction, expiration, unused balance handling, and provider-cost treatment are governed by the applicable order form or plan.

Credit and cushion mechanics

Any service-credit ledger, cap, carry-forward rule, exclusion, review process, and accounting treatment must be stated in the applicable order form or plan.

Failure-credit terms

Managed credits must stay bounded and objective.

Managed service credits apply only to eligible objective provider failures, only within agreed caps, and only through the applicable review process. BYOK reporting is visibility on the customer's own provider bill and does not include OpiusAI service credits unless separate written terms say otherwise.

Eligible objective failures

Eligibility depends on objective evidence, such as provider errors, timeouts, empty or truncated output, invalid structured output, invalid tool calls with a schema, or billing/cache anomalies that meet the agreed standard.

Caps and exclusions

Caps, notice windows, excluded failures, customer-caused failures, provider outage handling, beta limitations, and per-event limits are governed by the applicable order form or plan.

Remedy boundary

Inferock reports keep provider-recognized amounts, Inferock-standard loss, and recognition gaps separate. That three-number honesty does not convert every gap into a credit or legal admission.

BYOK keys and responsibilities

Customer provider accounts

Customers are responsible for provider accounts, provider terms, provider bills, key permissions, rate limits, model choices, usage budgets, and the legality of prompts and outputs they route through the service.

OpiusAI key handling

OpiusAI stores hosted BYOK provider keys in the key vault and uses them to verify or route customer-authorized provider requests. The shipped key path uses KMS envelope encryption and tenant encryption context; customers may request key deletion or rotation through support or available product controls.

Customer data

Customers retain ownership of their customer data. Customers grant OpiusAI the rights needed to host, route, transmit, store, analyze, secure, support, and report on customer data as needed to provide Inferock and as allowed by the applicable agreement.

Acceptable use

Use restrictions.

You may not use Inferock to violate law, infringe rights, abuse providers, bypass security, overload the service, transmit malware, scrape or resell the service, test security without written authorization, hide prohibited traffic, or use the service for high-risk or regulated workloads unless your written agreement expressly permits that use.

Third-party services

Model providers, clouds, identity providers, and other third-party services may have their own terms and privacy practices. In BYOK, customer-selected providers are the customer's responsibility. In Managed, provider availability and approvals are governed by the applicable order form or plan.
